1. Who we are?

www.troton.com is a Website operated by Trot On Corporation Limited ("We"). We are registered as a limited company in England and Wales under company number 06403846 and have our registered office at Trot On Corporation Limited of c/c 44 Southampton buildings, London, WC2A 1AP.

 

2. What our Website offers?

2.1 Once you have registered with us you can do any of the following:

(a) use our community area to socialise with fellow horse loving members generally (our "Membership Service").

(b) use group forums to propose specific horse-related topics to discuss with fellow horse-loving members (our "Forum Service").

(c) watch TV videocasts and share these with fellow horse-loving members (our "TV Videocast Service").

(d) upload videos and share these with fellow horse-loving members (our "Video Service").

(e) upload photos and share these with fellow horse-loving members (our "Photo Service").

(f) provide us with details of your horse-related website blog and have us provide a link to your website blog for our horse-loving members to access (our "Blog Linking Service").

(g) use our Website as a marketplace to advertise and offload or swap your unwanted horse-related goods to fellow horse-loving members (our "Equestrian Off-load/Swap Service").

(h) use our Website to advertise your horse-related goods and services to our horse-loving members and to other Internet users who view our Website (our "Free Classifieds Service"), (each a "Service", together the "Services").

 

3. How old you have to be to use our Website?

3.1 Our Website and our Services may be used by anyone over the age of 13. However, if you are between the ages of 13 and 16 we consider you to be a minor and ask you to confirm that you have the consent of one of your parents or guardians to use this Website and our Services. We advise parents or guardians who permit their children to use this Website that it is important that they communicate with their children about their safety online.

3.2 We will do our best to assess any possible risks for users (and in particular, for 13 to 16 years old) from third parties when they use any of our Services. We will decide in each case whether it is appropriate to moderate a Service in the light of those risks. However, we are under no obligation to oversee, monitor or moderate any Service and we expressly exclude our liability for any loss or damage arising from your use of any Service in contravention of our Terms, whether the Service is moderated or not.

 

4. What you have to do to use our Website?

4.1 You may browse certain parts of our Website generally as our guest without registering with us. However, the majority of our Services require you to register with us. As part of our registration procedure we ask you to provide log-in details and a password. For safety and security reasons we ask you to treat both your log-in details and password as confidential and not to disclose them to any third party. Responsibility for the security of your log-in details and password rests with you.

4.2 As part of our registration procedure you will receive a verification e-mail, the purpose of which is to take reasonable steps to ensure that the e-mail address you have nominated during registration is controlled by you. That email contains simple instructions that you must follow.

4.3 We reserve the right to disable your log-in details and password at any time if, in our opinion, you have failed to comply with any of the provisions of these Terms.

 

5. Privacy and Your Account

5.1 When you register with us we ask you to provide us with certain information about yourself. We shall only use this information in accordance with our Privacy Policy which can be found here.

5.2 We advise that you never reveal any personal data about yourself or anyone else (for example, full name, telephone number, mobile phone number, home address, e-mail address or any other information which could help to identify who you are or where you are).

5.3 Using Your Account: You may use your account by:

(a) finding and adding friends from your e-mail account book;

(b) requesting to add other members as friends and accepting friend requests from other members;

(c) posting your name, profile notes, photos, videos, messages, material about your horse and horse experiences and commentary on your profile page;

(d) accessing the profile pages of your friends;

(e) posting comments on your friends' member profile pages;

(f) receiving emailed messages, which will be stored in your "TOTV" inbox. Notification of receiving a message will be sent to the email address contained in Members' "My account" page;

(g) opening and reading messages received into your "TOTV" inbox;

(h) sending emails to other Members; and

(i) posting updates of your activities on your profile homepage.

5.4 The above list of functions is not exhaustive and there may be additional functions available on our Services. We doe not represent that the functions listed will always be available and reserve the right to add or remove functions in our sole discretion at any time.

5.5 You have the ability to control which other members have greater access to your member profile page than others using the "Edit My Profile" and "Privacy/Options" functionality. If you tell us you are between the ages of 13 and 16 then we will set your member profile page as "private" which means that none of our Website guests and members will be able to see your member profile page. If you tell us you are over the age of 16 then, subject to any further age verification procedures we may elect to undertake, we will set your member profile page as "public" which means that all our Website guests and members will be able to see your member profile page.

5.6 Where you wish to add or accept another member as your friend but want to restrict that Member's access to your member profile page you can do so by using the "Edit My Profile" and "Privacy/Options" functionality.

5.7 It is open to you at any time to block your contacts, in which case those members will immediately have no more than access to your member profile page.

5.8 You should exercise no lesser degree of caution in appraising what you and other members see and read about you on our Website than you do off-line.

5.9 You acknowledge that even though members are prohibited from doing so, they may provide information, or otherwise behave, in a way that is unreliable, misleading or even illegal. Further, you acknowledge that people may not necessarily be who they say they are.

5.10 In respect of personal data about other users of the Services you acknowledge your legal obligation to use such personal data in compliance with the UK Data Protection Act 1998 and the Privacy and Electronic Communications (EC Directive) Regulations 2003. By way of guidance only, we refer you to the literature available at the UK Information Commissioner's website at www.ico.gov.uk (the UK Information Commissioner being the UK civil servant responsible for enforcing the legislation referred to in this section).

 

6. Our Website and Service Availability

6.1 Access to our Website is permitted on a temporary basis. We reserve the right to amend this Website and any Services on it without notice to you at any time. We also reserve the right to add to, amend or withdraw any of the Services without notice to you at any time. At the same time, content on this Website may be out-of-date and we make no commitment to up-date such content.

6.2 While we endeavour to ensure that all Services are available 24 hours a day, we will not be liable to you if for any reason this Website or any Service is unavailable at any time or for any period. For example, access to this Website may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond our control.

 

7. Intellectual Property

7.1 Our Intellectual Property

(a) We own the unregistered trade marks "troton" and "troton.com" (both word and logo). We or our business partners are also the owners of our Website (including the domain name troton.com, the look and feel and get-up of the Website, the software that powers it, the way it is structured and functions and the content we publish on it). All of which is protected by copyright, database right, trade mark rights and other intellectual property rights around the world. All such rights are reserved.

(b) You must not use our Website or any content we publish on it for any commercial purpose without our permission. Please contact us if you wish to request such permission. You may however use this Website and the content we publish on it for your own personal use and you may also print off one copy, and may download extracts, of any page(s) from our Website for your personal reference. You may also draw the attention of others to content posted on our Website.

(c) You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

(d) Your use of our Website or any content we publish on it is also subject to your responsibilities when using our Website and any of our Services set out in Section 8 below.

7.2 Your Intellectual Property

(a) The very nature of a social networking website such as ours involves your submission of content to our Website (whether in the form of typed text, photos, videos or otherwise) ("Your Content").

(b) Your Content that you post, upload or otherwise make available on this Website will be considered non-confidential and non-proprietary. We will have no obligations to you in respect of Your Content except where your Content is personal data identifying you as an individual in which case we will use such content in accordance with our privacy policy.

(c) We and our business partners will be free to copy, disclose, distribute, incorporate and otherwise use Your Content for any and all commercial or non-commercial purposes. To enable us to host and use Your Content you grant us a non-exclusive, perpetual, irrevocable, free of charge permission (with the right to share this permission) to use Your Content and all underlying intellectual property protecting it in any way we wish in any media worldwide. You also waive all moral rights you have in relation to Your Content to the fullest extent permitted by law. This all means that you cannot in the future control or seek recompense for the way in which we use Your Content in the future. However, as the nature of this permission is "non-exclusive" it does not prevent you from using Your Content yourself or with other third parties in way that you wish.

You also confirm that you have the consent of anyone who is identifiable in your Content or the consent of their parent/guardian if they are under 16 years of age. 8. Your Responsibilities

8.1 Generally

(a) We make use of this Website and each of the Services subject to certain terms and conditions to ensure that your use of them is lawful and in the best interests of all of our other members.

(b) Some of yours and our responsibilities set out below only relate to a specific Service. Other of ours and your responsibilities relate to your use of all our Services.

(c) You are responsible for making all arrangements necessary for you to have access to our Website including all costs of accessing each of the Services and communicating with other users of the Services. You are also responsible for ensuring that all persons who access our Website through your internet connection are aware of these Terms, and that they comply with them.

8.2 Acceptable Use Policy

(a) You may use our Website only for lawful purposes. You may not use our Website:

(i) in any way that breaches any applicable local, national or international law or regulation.

(ii) in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.

(iii) for the purpose of harming or attempting to harm minors in any way.

(iv) to send, knowingly receive, upload, download, use or re-use any content which does not comply with our content standards set out in Section 8.3 below.

(v) to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam).

(vi) to reproduce, duplicate, copy or re-sell any part of our Website in contravention of these Terms.

(b) You also agree not to:

(i) access without authority, interfere with, damage or disrupt any part of our Website; any equipment or network on which our Website is stored; any software used in the provision of our Website; or, any equipment or network or software owned or used by any third party.

(ii) misuse this Website by knowingly transmitting any data, sending or uploading any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.

(iii) attack our Website via a denial-of-service attack or a distributed denial-of service attack.

By breaching this provision, you may commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Website will cease immediately.

(c) We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our Website or to your downloading of any material posted on it, or on any Website linked to it.

8.3 Content Standards

You are responsible for ensuring that Your Content that you post, upload or otherwise make available on this Website complies with the following content standards:-

(a) Your Content must:

(i) be accurate (where it states facts).

(ii) be genuinely held (where it states opinions).

(iii) comply with the law applicable in England and Wales and in any country from which it is posted.

(v) infringe any copyright, database right, trade mark or any other intellectual property right of any other person.

(vi) breach any legal duty owed to a third party, such as a contractual duty, a duty of privacy or a duty of confidence.

(vii) be in contempt of court.

(viii) be likely to harass, upset, embarrass, alarm or annoy any other person.

(ix) impersonate any person, or misrepresent your identity or affiliation with any person.

(x) give the impression that it emanates from Trot On Corporation Limited if this is not the case.

(xi) advocate, promote, incite any third party to commit, or assist any unlawful or criminal act.

(xii) contain a statement which you know or believe, or have reasonable grounds for believing, that members of the public to whom the statement is, or is to be, published are likely to understand as a direct or indirect encouragement or other inducement to the commission, preparation or instigation of acts of terrorism.

(xiii) contain any advertising or promote any services or web links to other websites. In addition to our other rights and remedies, we reserve the right to charge a £25 administration fee for each breach of Clause 8.3(b)(xiii) to account for the time involved in taking down the contravening content

8.4 Terms specific to the Membership Service and the Forum Service

(a) We do not currently charge you to use either our Membership Service or Forum Service but reserve the right to do so.

(b) We remind you of the need to maintain vigilance in the use of all of our Services and refer you to our Safety page for further information about on-line safety and security and protecting yourself, your identity and your reputation when on-line.

8.5 Terms specific to the TV Videocast Service, the Video Service and the Photo Service

(a) We do not currently charge you to use our TV Videocast Service, Video Service or Photo Service but reserve the right to do so.

(b) Whenever you make use of the TV Videocast Service, Video Service or Photo Service to upload Your Content to our Website, or to make contact with other users of our Website, you must comply with our content standards and acceptable use policy set out above. You warrant that any such contribution does comply with those standards and the acceptable use policy, and you indemnify us for any breach of that warranty.

(c) We will not be responsible, or liable to any third party, for Your Content or the accuracy of Your Content posted on our Website.

8.6 Terms specific to the Blog Linking Service

(a) We do not currently charge you to use our Blog Linking Service but reserve the right to do so.

(b) The nature of the Blog Linking Service means that we do not moderate and are not responsible as author, editor or publisher of any contribution submitted to any blog to which we provide a link from our Website.

(c) We expressly exclude our liability for any loss or damage arising from the use of any blog to which we link by any person in contravention of these Terms. We reserve the right to promptly remove, or to disable access to, any blog to which we link which we deem to breach these Terms.

8.7 Terms specific to the Equestrian Off-load/Swap Service and the Free Classifieds Service

(a) We do not currently charge you to use our Equestrian Off-load/Swap Service or Free Classifieds Service but reserve the right to do so.

(b) Our Website acts as a market place only for both the Equestrian Off-load/Swap Service and the Free Classifieds Service permitting you:-

(i) as an advertiser to register and offer goods/services to giveaway, swap or sell at any time and from anywhere in the formats that our Equestrian Off-load/Swap Service and Free Classifieds Service provide; and/or

(ii) as a buyer to register and contact advertisers who register and offer goods/services to giveaway, swap or sell via our Equestrian Off-load/Swap Service and Free Classifieds Service with a view to entering into an agreement or arrangement with them directly.

(c) We are not involved in any agreement or arrangement that you and other users of our Equestrian Off-load/Swap Service and Free Classifieds Service may enter into. We are not responsible for ensuring that advertisers and buyers enter into arrangement or agreement through our Equestrian Off-load/Swap Service and Free Classifieds Service. Any contract is entered into between advertisers and buyers directly. We are not a contractual party to any such transaction.

(d) If you, as an advertiser, offer to giveaway, swap or sell goods/services to a buyer via our Equestrian Off-load/Swap Service or Free Classifieds Service you warrant to us that you are legally entitled to do so and that such an offer is lawful and is not otherwise prohibited by these Terms. Your listing must only include content relevant to your goods/services. You warrant that you have the right to use and publish such content and that we have the right to host it on our servers.

(e) To register as an advertiser on this Website and use our Equestrian Off-load/Swap Service and/or Free Classifieds Service:-

(i) you must be an individual United Kingdom resident or a business that is established, in the United Kingdom; and

(ii) the goods you are giving away, swapping or selling must be physically located in the United Kingdom at the time they are offered; and

(iii) the place from which you are providing services you are offering must be in the United Kingdom.

Please note that if you are selling goods/services in the course of trade, you are required by law to make that fact clear to potential buyers in your listing.

(f) Any advertiser may list any goods/services to giveaway, swap or sell via our Equestrian Off-load/Swap Service and Free Classifieds Service. However, the following must not be listed on this Website by an advertiser or acquired by a buyer from an advertiser:-

(i) offensive material, including material that incites racial hatred or promotes discrimination based on race, sex, religion, national origin, physical ability, sexual orientation or age;

(ii) obscene material including pornographic material;

(iii) dead or wild animals;

(iv) intoxicating liquor and tobacco (except where the advertiser is properly licensed under applicable law) and homemade alcoholic beverages;

(v) firearms and ammunition;

(vi) stolen goods/services;

(vii) advertisements;

(viii) items that infringe another party's intellectual property rights (including but not limited to copyright, patent, trademark, database rights, design rights or other intellectual property rights (for example, pirated computer games, CDs, videos, DVD's, mini discs or software));

(ix) illegal or prescription drugs;

(x) items for sale, distribution or offering for sale as prohibited by any applicable laws;

(xi) items you sell which are subject to export restrictions;

(xii) offensive weapons, poisons and dangerous substances as defined by applicable laws; and

(xiii) any other goods and/or services that we deem, in our sole discretion, to be inappropriate.

(g) We do not permit use of our Website or our Equestrian Off-load/Swap Service for the purposes of selling horses or horse-related equipment to buyers (each a "Service", together the "Services").

(h) Whilst using our Equestrian Off-load/Swap Service and/or Free Classifieds Service, you will not:-

(i) fail to pay for goods/services purchased by you unless the advertiser materially changes the description of the goods/services after you have agreed to purchase or you cannot authenticate the advertiser's identity;

(ii) fail to deliver goods/services purchased from you, unless the buyer fails to meet your listing terms or you cannot authenticate the buyer's identity;

(iii) use our Equestrian Off-load/Swap Service and/or Free Classifieds Service in any way which contravenes applicable law.

(i) You acknowledge that the classifieds that you, as an advertiser, post may also appear on third party websites pursuant to agreements from time to time between us and the owners of such websites.

(j) We do not verify information provided by you or other website users in connection with our Equestrian Off-load/Swap Service and/or Free Classifieds Service. We do not own, possess or control the goods that are offered for giveaway, swap or sale via our Equestrian Off-load/Swap Service and/or Free Classifieds Service. Accordingly, we do not control the truth or accuracy of any goods advertised via our Equestrian Off-load/Swap Service and/or Free Classifieds Service, the ability of any user of this Website to giveaway, swap or sell goods or the ability of any user of this Website to make a payment in respect of any arrangement or agreement you enter into with them. You accept sole responsibility for the lawfulness of your use of our Equestrian Off-load/Swap Service and/or Free Classifieds Service.

(k) We may use methods to verify the accuracy of the information and data that you provide to us when you register for our Equestrian Off-load/Swap Service and/or Free Classifieds Service and/or list goods for giveaway, swap or sale. However, the vagaries of the Internet may make the success of verification difficult. We cannot therefore confirm the purported identify of all users of our Equestrian Off-load/Swap Service and/or Free Classifieds Service or, guarantee the accuracy, completeness or legality of the goods listed using our Equestrian Off-load/Swap Service and/or Free Classifieds Service. Where you are a buyer, do not assume that the offer of goods via our Equestrian Off-load/Swap Service and/or Free Classifieds Service by another user is lawful simply because it is listed. You recognise that it is your responsibility to:-

(i) usecommonsense and caution when using our Equestrian Off-load/Swap Service and/or Free Classifieds Service; and

(ii) undertake such further due diligence you deem necessary to decide whether you want to enter into a legally binding arrangement or agreement with another user of our Equestrian Off-load/Swap Service and/or Free Classifieds Service in respect of the giveaway, swap or sale of goods.

(l) You, as a buyer, acknowledge that your selection or purchase made from any information available on the Equestrian Off-load/Swap Service or Free Classifieds Service is solely at your choice. You also acknowledge that the advertiser of the Equestrian Off-load/Swap Service or Free Classifieds Service advert is solely responsible for the legal fulfilment of any orders, sale or swap of the goods or services advertised and for its quality, suitability and fitness for purpose. We have no responsibility, obligations or liability in relation to the goods and services advertised on the Equestrian Off-load/Swap Service or Free Classifieds Service and any disputes or questions should be directed to the advertiser.

(m) If you are a potential buyer, you are advised to check all advertisements posted using our Equestrian Off-load/Swap Service and/or Free Classifieds Service carefully before entering into any arrangement or agreement with a third party. You should always seek independent legal advice before entering into any such arrangement or agreement.

8.8 What we can do if you breach your responsibilities?

(a) If we reasonably consider you have breached any of your responsibilities in relation to your use of any Service we may at our discretion take such action as we deem appropriate which may include us taking all or any of the following actions:

(i) immediately, temporarily or permanently withdrawing your right to use any or all of the Services we offer.

(ii) immediately, temporarily or permanently removing any of Your Content from this Website.

(iii) immediately, temporarily or permanently removing any link to your own website from this Website.

(iv) issuing a warning to you.

(v) taking legal proceedings against you for reimbursement of all costs (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.

(vi) taking further legal action against you.

(vii) disclosing such information to law enforcement authorities as we reasonably feel is necessary or as required by law.

(b) We exclude our liability for all action we may take in response to your breach of these responsibilities. The actions described above are not limited and we may take any other action we reasonably deem appropriate.

 

9. Our Liability

9.1 You acknowledge that we are not and cannot be responsible for the content or behaviour of other guests and members who use our Website and the Services. We only provide a venue and marketplace to access our Services.

9.2 The majority of the content placed on this Website is created by members of the public and fellow horse-loving members. We do not warrant the accuracy and completeness of the content on this Website. Commentary and other content posted on our Website are not intended to amount to advice on which reliance should be placed. We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to our Website, or by anyone who may be informed of any of its contents. The pages and information may contain technical inaccuracies and typographical errors. If your use of content on this Website results in the need for servicing, repair or correction of equipment, software or data, you assume all costs thereof.

9.3 Nothing in these Terms shall exclude or limit our liability for: (a) death or personal injury caused by our negligence; (b) fraud; (c) fraudulent misrepresentation; or (d) any liability which cannot be excluded or limited under applicable law.

9.4 Otherwise, the content on this Website and the Services are provided on an "as is" and "as available" without any conditions, warranties or other terms of any kind. Accordingly, to the maximum extent permitted by law, we provide you with this Website and the Services on the basis that we exclude all representations, warranties, conditions and other terms (including, without limitation, the conditions implied by law of satisfactory quality, fitness for purpose and the use of reasonable care and skill) which but for these Terms might have effect in relation to this Website and your use of the Services.

9.5 We, any other party (whether or not involved in creating, producing, maintaining or delivering this Website and the Services), and any of our group companies and the officers, directors, employees, shareholders or agents of any of them, exclude all liability and responsibility for any amount or kind of loss or damage that may result to you or a third party in connection with your use of our Website and the Services in any way or in connection with the use, inability to use or the results of use of this Website, the Services any websites linked to this Website or the material on such websites, including but not limited to loss or damage due to viruses that may infect your computer equipment, software, data or other property on account of your access to, use of, or browsing this Website or your downloading of any material from this Website or any websites linked to this Website.

9.6 Subject to Conditions 9.2 and 9.5, our liability to you or any third party for use of any of the Services in any circumstance is limited to the sum of £100.

 

10. Linking to our Website

10.1 You may link to our Website's homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link from any website that is not owned by you.

10.2 Our Website must not be framed on any other website, nor may you create a link to any part of our Website other than the homepage. We reserve the right to withdraw linking permission without notice. The website from which you are linking must comply in all respects with the content standards set out in these Terms.
